1. Subscription Terms

By purchasing a subscription to the MatchMaker365 digital platform (“Platform”), you agree to be bound by these Terms and Conditions, including our Privacy Policy and Terms of Use (collectively, the “Agreement”). The MatchMaker365 annual subscription grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform and its features for a period of twelve (12) months from the date of purchase, subject to continued compliance with this Agreement.

2. Payment and Billing

All subscription fees must be paid in full at the time of purchase. The current annual subscription rate is $99 (USD) per user, unless otherwise stated at checkout. By completing your purchase, you authorize the Michigan Minority Supplier development Council (MMSDC) or its authorized payment processor to charge your designated payment method for the total amount due.

3. Automatic Renewal

Unless you cancel prior to the renewal date, your annual subscription may automatically renew for an additional twelve (12)-month term at the then-current subscription rate. MatchMaker365 will provide reasonable advance notice of any rate changes prior to renewal. You may cancel automatic renewal at any time by managing your account settings within the Platform or by contacting customer support at info@minoritysupplier.org.

4. No Refund Policy

All subscription fees are final and non-refundable, including in cases of partial use, non-use, account termination, or cancellation. Refunds, credits, or prorations will not be issued for any reason, to the fullest extent permitted by applicable law. By purchasing a subscription, you acknowledge and agree that this no-refund policy is a material condition of your use of the Platform. Certain jurisdictions may not permit the exclusion of refunds under specific circumstances; in such cases, MatchMaker365 will comply only to the minimal extent required by applicable Michigan or U.S. consumer-protection laws.

5. Access and Availability

MatchMaker365 strives to maintain continuous access to the Platform but does not guarantee uninterrupted service or error-free performance. Temporary interruptions may occur due to maintenance, system updates, or factors beyond our control. MatchMaker365 is not liable for any losses or damages arising from downtime, data delays, or technical issues affecting the Platform.

6. No Warranties

The Platform and all related services are provided “as is” and “as available” without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. MatchMaker365 does not warrant that the Platform will meet your requirements or achieve any particular business outcomes.

7. Limitation of Liability

To the fullest extent permitted by law, MMSDC, its affiliates, officers, employees, and agents shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising out of or relating to your use of the Platform, even if advised of the possibility of such damages. In no event shall the total liability of MMSDC exceed the total amount paid by you for your current annual subscription term.

8. Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of the State of Michigan, without regard to its conflict-of-laws principles. You agree to submit to the exclusive jurisdiction of the state and federal courts located in Wayne County, Michigan for any disputes arising out of or relating to this Agreement or your use of the Platform.

9. Amendments

MMSDC reserves the right to update, modify, or revise this Disclaimer or any related policies at any time by posting updated terms on the Platform. Continued use after such changes constitutes acceptance of the revised terms.
